By accessing or using ComplyNest, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the service. These terms apply to all users, including individuals and organizations that access the platform on behalf of an entity.

ComplyNest is a software-as-a-service (SaaS) compliance workflow tool designed for childcare operators. The platform helps users organize compliance documentation, track regulatory deadlines, manage staff training records, and prepare for licensing inspections. ComplyNest is not a law firm and does not provide legal advice.

You are responsible for maintaining the accuracy of the information you provide when creating and maintaining your account. You agree to keep your login credentials confidential and to notify us immediately at legal@getcomplynest.com if you suspect unauthorized access. You are responsible for all activity that occurs under your account. If you are using ComplyNest on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

ComplyNest is offered on monthly and annual subscription plans. All billing is processed through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings. No refunds are provided for partial billing periods, except where required by law.

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Use the service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the platform or its related systems
• Upload or transmit malicious code, viruses, or any content that disrupts the service
• Resell or sublicense access to the platform without prior written consent from ComplyNest

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

ComplyNest owns all rights, title, and interest in the platform, including its software, design, trademarks, and content. You retain ownership of all data and content you upload to ComplyNest. By using the service, you grant ComplyNest a limited license to store and process your data solely to provide the service. We will not use your data for any other purpose without your consent.

ComplyNest is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that defects will be corrected. ComplyNest is a workflow tool and does not constitute legal advice. You should consult a qualified attorney for legal guidance.

To the maximum extent permitted by law, ComplyNest's total liability for any claims arising out of or related to these terms or your use of the service shall not exceed the total fees you paid to ComplyNest in the twelve (12) months preceding the claim. In no event shall ComplyNest be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.

Either party may terminate the agreement at any time. You may cancel your subscription at any time through your account settings. We may suspend or terminate your access for violation of these terms, non-payment, or at our discretion with reasonable notice. Upon termination, you may export your data within 30 days. After that period, your data will be deleted in accordance with our Privacy Policy.

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in California.
